Article 1. Roles of the parties
1. The client is the data controller for the personal data that
Newconomie processes on behalf of the client.
2. Newconomie is the processor to the extent that it processes personal data on behalf of
the client.
3. Newconomie processes personal data solely according to written instructions
from the client, unless Newconomie is legally required to act otherwise.
Article 2. Purpose of the processing
Newconomie processes personal data solely for the execution of the
agreement with the client.
The processing may take place, among other things, for:
● Odoo setup and support;
● Website and webshop development;
● CRM setup;
● E-mail marketing;
● SEO, GEO, and AI visibility;
● Google Ads and social media ads;
● Analysis and reporting;
● Automation;
● Technical support;
● Data migration;
● Connections between systems;
● Maintenance and management
Article 3. Types of personal data
Depending on the assignment, Newconomie may gain access to, among other things:
● First name and last name;
● Address details;
● E-mail address;
● Phone number;
● Customer number;
● Order details;
● Invoice details;
● Payment statuses;
● Company details;
● Account details;
● Login details;
● IP addresses;
● Website behavior;
● Marketing preferences;
● Communication data;
● CRM data;
● Other data stored by the client in systems.
Article 4. Categories of data subjects
The processing may relate to:
● Clients of the client;
● Leads;
● Website visitors;
● Employees;
● Suppliers;
● Contacts;
● Newsletter recipients;
● Users of a website, webshop, CRM, or Odoo environment
Article 5. Duration of processing
The processing lasts as long as the agreement between the client and Newconomie is in effect.
After termination of the agreement, Newconomie will delete or return personal data, unless legal obligations or justified interests necessitate longer retention.
Article 6. Instructions from the client
1. Newconomie processes personal data only based on instructions from the client.
2. The client ensures that the instructions are lawful.
3. If Newconomie believes that an instruction is in conflict with privacy legislation, Newconomie will notify the client.
Article 7. Confidentiality
1. Newconomie ensures that individuals who have access to personal data are obligated to maintain confidentiality.
2. This confidentiality obligation also applies after the termination of the agreement.
Article 8. Security
Newconomie takes appropriate technical and organizational measures to secure personal data.
These measures may include:
● Limited access to systems;
● Use of strong passwords;
● Two-factor authentication where possible;
● Secure connections;
● Careful storage of access information;
● Limiting access to employees or third parties who need access;
● Logging or documentation where appropriate;
● Periodic review of access rights.
The client remains responsible for the secure management of its own accounts,
user rights, and systems.
Article 9. Subprocessors
1. Newconomie may engage subprocessors if necessary for the execution of
the assignment.
2. Examples of subprocessors or external parties include:
○ Hosting parties;
○ Odoo;
○ Google;
○ Meta;
○ Email marketing platforms;
○ Analytics platforms;
○ Accounting software;
○ Payment providers;
○ IT specialists;
○ External developers;
○ Software and plugin suppliers.
3. Newconomie ensures that subprocessors are given appropriate obligations
imposed for the protection of personal data.
4. The client gives general consent for the engagement of
subprocessors, unless otherwise agreed in writing.
Article 10. Transfer outside the European Economic Area
If personal data is processed outside the European Economic Area, Newconomie will ensure appropriate safeguards as far as it is within its influence. When the client chooses software or platforms that process data outside the European Economic Area, the client remains responsible for that choice.
Article 11. Data breaches
1. Newconomie reports a data breach to the client without unreasonable delay
as soon as Newconomie becomes aware of it.
2. The report includes, as far as possible:
○ Nature of the data breach;
○ Involved systems;
○ Type of personal data;
○ Possible consequences;
○ Measures taken or proposed.
3. The client is responsible for assessment and any notification to the Data Protection Authority or data subjects, unless otherwise agreed in writing.
Article 12. Rights of data subjects
1. If a data subject contacts Newconomie directly regarding
personal data that Newconomie processes on behalf of the client, Newconomie
will forward this request to the client.
2. Newconomie will reasonably assist the client with requests from
data subjects, as far as this falls within the scope of the assignment.
3. Additional work for this may be charged as extra work.
Article 13. Audits and control
1. The client may verify whether Newconomie complies with this
processor agreement.
2. An audit must be announced in writing at least 30 days in advance.
3. An audit may not unreasonably disrupt the operations of Newconomie.
4. Costs of audits, controls, or extensive information requests are the responsibility
of the client, unless there is a demonstrable shortcoming of
Newconomie.
Article 14. Deletion or return of data
Upon termination of the agreement, Newconomie will delete or
return personal data, depending on what the client requests in writing.
Newconomie may retain copies as far as necessary for legal obligations,
evidence, security, administration, or legitimate business interests.
Article 15. Liability
The liability of Newconomie under this processor agreement is limited
as specified in the general terms and conditions or main agreement between the parties.
Article 16. Final provision
This processor agreement is an addition to the agreement and general
terms and conditions of Newconomie. In case of conflict, this processor agreement takes precedence
as far as it concerns the processing of personal data.

1. Purpose of this appendix
This appendix explains what the client can reasonably expect from Newconomie for
different types of services.
The appendix prevents misunderstandings about scope, planning, responsibilities,
delivery, support, additional work, and results.
This appendix applies in addition to the general terms and conditions of Newconomie.
2. General principles
1. Newconomie provides professional digital services.
2. The exact scope is stated in the quote, order confirmation, agreement, or
written arrangements.
3. Newconomie has a best-effort obligation, unless a specific
result is guaranteed in writing.
4. Planning and delivery dates are indicative, unless otherwise agreed in writing.
5. The client provides timely information, access, feedback, texts, images, and
decisions.
6. Delays by the client may lead to adjustments in planning and costs.
3. Odoo services
Newconomie can assist with, among other things:
● Odoo implementation;
● setup of modules;
● Odoo Website;
● Odoo eCommerce;
● Odoo CRM;
● Odoo Sales;
● Odoo Accounting;
● Odoo Inventory;
● Odoo POS;
● Odoo Marketing;
● Migration;
● Automation;
● Integrations;
● Reports;
● Training;
● Support.
4. Scope at Odoo
The scope only includes the work that is explicitly stated in the quote
or order confirmation.
Not automatically included are, among others:
● Custom development;
● Complex integrations;
● Data migration;
● Data correction;
● Recovery of existing errors;
● Tax or accounting audit;
● Legal audit;
● Integrations with external platforms;
● Training of additional staff;
● Changes after approval;
● Setup of additional companies, websites, or administrations;
● Support outside agreed hours.
These tasks are considered additional work unless otherwise agreed in writing.
5. Responsibility at Odoo
Newconomie assists in the setup and optimization of Odoo, but the client remains
responsible for:
● Correct business data;
● Correct VAT settings;
● Fiscal choices;
● Accounting control;
● Product information;
● Inventory data;
● Price lists;
● Customer data;
● User rights;
● Internal work processes;
● Legal obligations.
Newconomie can advise, but does not take responsibility for the client's fiscal,
legal, or administrative decisions.
6. Websites and webshops
Newconomie assists in the setup and optimization of Odoo, but the client remains
responsible for:
Newconomie can support with, among other things:
● Website development;
● Webshop development;
● Landing pages;
● Technical setup;
● Design;
● Content structure;
● Product pages;
● Conversion optimization;
● Speed;
● SEO techniques;
● Measurability;
● Forms;
● Integrations;
● Maintenance.
7. Scope for websites and webshops
Unless otherwise agreed in writing, the following components do not automatically
fall within the scope:
● The writing of all texts;
● Product photography;
● Legal texts;
● Privacy statement;
● Cookie policy;
● General terms and conditions;
● Product data;
● Translations;
● Extensive SEO content;
● Complex custom functions;
● External links;
● Data migration;
● Manual entry of large numbers of products;
● Resolution of issues caused by hosting, plugins, or third parties.
8. Responsibility for websites and webshops
Client remains responsible for:
● Accuracy of texts;
● Prices;
● Product information;
● Stock levels;
● Offers;
● Images;
● Legal information;
● Privacy and cookie notifications;
● Payment methods;
● Shipping terms;
● Return conditions;
● Compliance with consumer law;
● Compliance with industry or product regulations.
If Newconomie supports these components, final control remains with the client.
For online sales to consumers, in many cases, there is a legal reflection period of
14 days. From June 19, 2026, webshops and online service providers must also offer a
clear cancellation button.
9. SEO, GEO, and AI visibility
Newconomie can assist with:
● Technical SEO;
● Keyword research;
● Content strategy;
● Product texts;
● Blogs;
● Local SEO;
● Structured data;
● Google Business Profile;
● Internal link structure;
● Indexing;
● Search Console;
● AI visibility;
● GEO, or findability within AI search environments;
● Optimization for Google AI Overviews and similar search experiences;
● Reporting and analysis.
10. No guarantee on positions or revenue
SEO, GEO, and AI visibility depend on many factors outside the control of
Newconomie.
Newconomie therefore does not guarantee:
● Number 1 positions in Google;
● Fixed positions in search engines;
● Inclusion in AI answers;
● Specific visitor numbers;
● Fixed revenue growth;
● Fixed conversion rates;
● Fixed ranking within a certain timeframe.
Newconomie operates based on strategy, analysis, optimization, and continuous improvement.
11. Google Ads, social media, and online advertisements
Newconomie can assist with:
● Campaign structure;
● Ad texts;
● Keywords;
● Target audiences;
● Conversion measurement;
● Google Ads;
● Google Shopping;
● Meta Ads;
● Remarketing;
● Landing pages;
● Reporting;
● Optimization.
12. Advertising budgets
1. Advertising budgets are the responsibility of the client.
2. Newconomie manages campaigns to the best of its ability, but does not guarantee fixed
results.
3. Results depend, among other things, on:
○ budget;
○ competition;
○ industry;
○ website quality;
○ offerings;
○ prices;
○ conversion rate;
○ tracking;
○ platform policy;
○ seasonal influences.
4. Rejections, blocks, or restrictions by platforms such as Google or Meta are
outside the responsibility of Newconomie, unless demonstrably caused
by an error of Newconomie.
13. Content and AI tools
Newconomie may use AI tools for analysis, draft texts, optimization,
structure, ideas, automation, or support.
In this regard:
1. AI output is used as a tool, not as a standalone end product without
control.
2. The client remains responsible for the review and approval of
published content.
3. Newconomie is not liable for inaccuracies in information provided or approved by the client.
4. For specialized topics, such as legal, medical, financial, tax, or
technical advice, the client must ensure substantive review by
a qualified expert.
14. Connections and external systems
Many digital projects depend on external systems, such as:
● Odoo;
● Google;
● Meta;
● Mailchimp;
● Brevo;
● payment providers;
● Accounting software;
● Hosting;
● Plugins;
● Apps;
● APIs;
● CRM systems;
● Shipping software.
Newconomie is not responsible for outages, changes, price increases,
limitations, bugs, updates, or policy changes from third parties.
If adjustments are needed as a result, these tasks will be considered additional work, unless
agreed otherwise in writing.
15. Data migration
Data migration is only within scope if explicitly agreed upon.
For data migration, the following applies:
1. The client is responsible for the accuracy and completeness of source data.
2. Newconomie only checks data to the extent agreed upon.
3. Data pollution, duplicate records, incorrect fields, missing information, or old
system errors may cause additional work.
4. Additional cleaning, correction, or checking is considered extra work.
5. The client must check migrated data before putting it into use.
16. Training and transfer
Training and explanations are provided as far as included in the quote or agreement.
Additional training, manuals, videos, documentation, or guidance are not automatically
included in the scope and may be charged as extra work.
17. Support and maintenance
Support is provided according to the agreements made.
Normal support includes, for example:
● Short questions;
● Small checks;
● Explanation of use;
● Minor adjustments;
● Checking of settings.
Not automatically included in support:
● New features;
● Urgent work;
● Recovery after changes by the client;
● Recovery after third-party updates;
● Failures in external systems;
● Extensive analyses;
● Structural work;
● Work outside office hours
18. Acceptance and delivery
1. Work is considered delivered as soon as Newconomie reports that it is ready,
made available, or published.
2. The client checks the work within 10 working days.
3. If no clear comments are given within that period, the work
is considered approved.
4. Use of the work also counts as acceptance.
5. Changes after acceptance are considered additional work, unless there is a demonstrable
error within the agreed scope.
19. Additional work
Additional work arises, among other things, in case of:
● Extra requests;
● Scope changes;
● Urgency;
● Extra rounds of corrections;
● Adjustments after approval;
● Recovery of errors from third parties;
● Recovery of errors by the client;
● Extra consultations;
● Extra documentation;
● Extra training;
● Expansion to additional websites, companies, or languages;
● Links that turn out to be more complex than initially expected.
Additional work will be invoiced at the agreed rate or the usual rate of
Newconomie.
20. Reporting
Reports are based on available data from tools such as Google Analytics, Search
Console, Google Ads, Meta, Odoo, CRM systems, or other platforms.
Newconomie is not responsible for incorrect, incomplete, or missing data from
external systems.
Reports are intended as management information, not as a guarantee of future results.
21. Limitations of digital services
The client understands that digital services depend on technology,
platforms, algorithms, external suppliers, and market conditions.
Newconomie cannot therefore guarantee that:
● Software always works flawlessly;
● Websites are always 100% available;
● Links always continue to function;
● Search engines continue to display content;
● Advertising platforms continue to accept campaigns;
● External systems continue to apply the same conditions;
● AI platforms display information in a certain way.
22. Final provision
This service-specific appendix forms a whole with the quotation, order confirmation,
agreement, and general terms and conditions of Newconomie.
In case of conflict, the following order applies:
1. written custom agreements;
2. quote or order confirmation;
3. processor agreement, for privacy processing;
4. this service-specific appendix;
5. general terms and conditions.
